We accept a small number of rounds each quarter. If you do not meet every criterion yet, talk to us: we can tell you what is missing.

  • Registered company in the EUA company incorporated in a European Union member state, able to pass our business verification (KYB).
  • Audited accounts or a business planAudited financial statements, or a detailed business plan if you have less than one full financial year.
  • A round of €500k to €10MYour target, set with our team during round preparation. Minimum tickets usually range from €250 to €1,000.
  • Seed to Series B, or debtEquity rounds from Seed to Series B, and debt such as project bonds.

The process

From application to secondary market

Nothing is published before our compliance team approves it. Most projects go from application to a live round in 2 to 3 months.

    Tell us about your company, your round and your traction, and upload your deck. An analyst calls you within 5 business days.

    Due diligence & compliance review

    Business, financial and legal checks, KYC of founders and beneficial owners. Usually 3 to 6 weeks.

    Round preparation

    Investor documents, tokenomics (token price, lock-up, distributions), your project page and the ERC-3643 token contract audit.

    Upcoming

    Your project appears on the Launchpad with its opening date. Investors join the whitelist and ask to be notified.

    Live round

    Investors subscribe by card, SEPA or crypto. Funds are held in escrow until closing. You follow every subscription from your issuer space.

    Closing & token delivery

    At the target or the closing date, funds are released to you and tokens are delivered to each investor's wallet.

    Listing on the peer-to-peer secondary market

    After the lock-up, your token is listed on the secondary market. Holders can offer their tokens for sale and other verified investors can buy them, or send a counter-offer. Every transfer is checked against the ERC-3643 rules.

What do my investors actually own?

For an equity round, tokenized shares of your company; for a debt round, tokenized bonds. Each token is recorded on a blockchain register using the ERC-3643 permissioned standard, so your cap table stays accurate and only verified investors can hold your tokens.

How long does it take?

A first answer within 5 business days, then 3 to 6 weeks of due diligence and compliance review. Round preparation usually takes 2 to 4 more weeks. The round itself typically stays live for 4 to 8 weeks.

Who sets the token price and the lock-up?

You propose them, based on your valuation and your round. Our team reviews them during round preparation and compliance approves the final terms before anything is published. You do not need to set a token price to apply.

What happens if the round does not reach its target?

Subscriptions are held in escrow until closing. The minimum target is agreed with you before the round opens; if it is not reached by the closing date, subscriptions are refunded in full to each investor and no tokens are issued.

Can my investors sell their tokens?

Yes, after the lock-up. Your token is then listed on the peer-to-peer secondary market, where holders offer their tokens to other verified investors at the price they choose. There is no guarantee a buyer will be found; see the Risk Disclosure.
