In short
- You must be at least 18 and pass identity verification (KYC) before investing.
- Your tokens represent securities of private companies; they are held in your name and can only be transferred to verified investors.
- Fees are shown before every confirmation: a platform fee set for each offering on primary subscriptions, 0.2% on secondary market trades.
- You may lose all the capital you invest. Coin District does not give investment advice.
1.Purpose and acceptance
These Terms of Service (the “Terms”) govern access to and use of the Coin District website and applications (the “Platform”), published by Coin District, [Legal form] with share capital of [Share capital], registered under [RCS number], whose registered office is at [Registered office address].
By creating an account, you confirm that you have read, understood and accepted these Terms, our Privacy Policy and our Risk Disclosure. Specific conditions may apply to certain services (for example the CDNT Airdrop Terms); in case of conflict, the specific conditions prevail.
2.Definitions
- Issuer
- A private company, fund or vehicle whose securities are offered or traded on the Platform.
- Token
- A digital representation of a security issued by an Issuer, recorded on a blockchain using a permissioned standard (ERC-3643).
- Offering
- A primary fundraising by an Issuer, presented on the Launchpad for a limited period and with a funding target.
- Secondary market
- The bulletin board on which verified investors can buy and sell Tokens among themselves.
- CDNT
- The Coin District ecosystem token, earned through the Academy, referrals and the airdrop, and used for governance votes and to pay part of an investment at the fixed rate of 1 CDNT = €0.10.
3.Eligibility and account opening
To open an account you must be a natural person aged 18 or over with full legal capacity, or a legal entity duly represented, resident in a country where the services are offered. The following steps are required before you can invest:
- identity verification (KYC) and, for legal entities, verification of beneficial owners (KYB);
- completion of the investor qualification questionnaire, which assesses your knowledge and experience;
- where applicable, a simulation of your capacity to bear losses, based on your declared net worth.
You must keep your information accurate and up to date. Coin District may request additional documents at any time in accordance with its anti-money laundering obligations.
4.Our services
Depending on your qualification and country of residence, the Platform gives you access to:
- Launchpad — subscription to Offerings of private companies;
- Secondary market — buying and selling Tokens with other verified investors;
- Tokenized funds and syndicates — access to funds and to deals led by syndicate leads;
- Fundraising Board — a showcase of raises run outside Coin District and published by founders under their own responsibility; Coin District reviews listings for basic compliance and forwards contact requests, but does not collect funds, issue tokens or handle subscriptions for these raises;
- Lending — deposit of currencies (USDC, ETH…) that earn a variable interest rate, and borrowing of euros against project tokens pledged as collateral (up to 50% of their value); project tokens earn no interest;
- Governance and Academy — voting on ecosystem proposals and educational content.
Coin District does not provide investment advice or personalized recommendations. Information published about Issuers is provided by them under their own responsibility.
5.Subscriptions and orders
A subscription to an Offering becomes binding once you confirm payment. You benefit from a reflection period of [Reflection period] during which you may withdraw your subscription at no cost. If an Offering does not reach its minimum target, subscriptions are refunded in full.
The secondary market is peer-to-peer: Users list their own Tokens for sale at the quantity and price they set, and buyers purchase directly from these offers, within the quantity listed, or submit a counter-offer that the seller is free to accept, decline or answer. Coin District does not act as counterparty or market maker, and an offer remains open until it is bought, withdrawn or expires. Executed orders cannot be reversed. You can follow all your orders in your order history and account activity.
6.Fees
All fees are displayed before you confirm a transaction. The main fees are:

7.Tokens, wallets and custody
Tokens are recorded in your name on a blockchain register. They use a permissioned standard: they can only be held by, and transferred to, investors whose identity has been verified. Transfers that do not meet these rules are automatically rejected.
Custody of your Tokens is provided by [Custodian name and status]. Where you connect an external wallet, you are solely responsible for the security of your private keys; Coin District cannot recover assets sent to a wrong address or lost keys.
8.CDNT rewards
CDNT may be credited to your account as a reward for completing Academy modules, referring investors or taking part in the airdrop. CDNT gives access to governance votes and can be used as partial payment of a Launchpad subscription, a tokenized fund subscription or a syndicate commitment at a fixed rate of 1 CDNT = €0.10, shown before you confirm. CDNT cannot be used to pay for secondary market purchases, which are paid in euros or stablecoins (USDC, USDT, EURC).
CDNT does not represent a share of capital, a debt or a right to profits of Coin District. It has no guaranteed monetary value. The rules for each reward program are published on the Referral program page (a lifetime commission, credited monthly in CDNT, equal to 15% of the platform fees paid by the investors you invite), the Academy page and the CDNT Airdrop Terms.
9.Your obligations
You agree to:
- keep your login details and two-factor authentication confidential;
- invest only funds of lawful origin, in your own name and on your own account;
- not manipulate prices, create multiple accounts or use automated tools to interact with the Platform;
- comply with the tax rules applicable to you and declare your gains where required.
10.Liability
Coin District is bound by an obligation of means in operating the Platform. It is not liable for the performance of Issuers, for changes in the value of Tokens, or for losses resulting from market conditions, blockchain network incidents outside its control, or your failure to keep your access credentials secure.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence or willful misconduct.
11.Suspension and termination
You can close your account at any time by contacting our team from the Help Center. Tokens you hold remain yours: before closing, you can sell them on the secondary market where the asset is listed, or have them transferred to another verified account.
Coin District may suspend or close an account in the event of a breach of these Terms, suspicion of fraud, or at the request of a competent authority. Except in urgent cases, you will be informed in advance by email.
12.Changes to these terms
We may update these Terms to reflect changes in our services or in the law. You will be notified at least 30 days before any material change takes effect. If you do not accept the new Terms, you may close your account free of charge before they apply.
13.Governing law and disputes
These Terms are governed by [Governing law]. Before any legal action, we encourage you to use our complaints process and, if needed, to refer the matter to the mediator free of charge.
Failing an amicable settlement, any dispute will be brought before [Competent courts], without prejudice to the mandatory rules protecting consumers.
